End User License Agreement
Effective Date: February 25, 2026
This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Austin Arborist Company dba Austin Tree Experts("Company," "we," "us") governing your use of the Digital Arborist CRM software and its integration with QuickBooks Online (collectively, the "Service").
By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations in connection with tree care services managed through our platform.
2. QuickBooks Integration
The Service integrates with QuickBooks Online ("QBO") to synchronize customer records, invoices, and payment data between the Digital Arborist CRM and your QBO account. By enabling this integration, you authorize the Service to:
- Read and write customer information in your QBO account
- Create and update invoices in your QBO account
- Receive payment notifications via webhooks from QBO
You are responsible for maintaining accurate data in both systems. The Service synchronizes data as-is and does not independently verify the accuracy of financial records.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service or its related systems
- Reverse engineer, decompile, or disassemble the Service
- Share your account credentials with unauthorized third parties
5. Intellectual Property
The Service, including its design, code, and documentation, is the property of the Company and is protected by applicable intellectual property laws. This Agreement does not transfer any ownership rights to you.
6. Data Ownership
You retain ownership of all business data you enter into the Service, including customer records, job details, and financial information. We do not claim ownership of your data.
7. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
9. Third-Party Services
The Service integrates with third-party services including Intuit QuickBooks Online and Google Workspace. Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your license to use the Service ends immediately. Sections 7, 8, and 11 survive termination.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions.
12. Changes to This Agreement
We reserve the right to modify this Agreement at any time. We will notify users of material changes by posting the updated Agreement with a new effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Agreement.
